Terms of Service

1. Scope

These Terms of Service ("Terms") govern the purchase and use of Globe Studio ("the Software"), a desktop application developed and published by Frametools, operated by Kevin Schwed, Neckarring 99, 65421 Gross-Gerau, Germany ("we", "us", "our").

By purchasing or using the Software, you ("User", "you") agree to these Terms. If you do not agree, do not purchase or use the Software.

2. Contract Formation

A binding contract is formed when you complete the purchase of the Software through our website or authorized distribution platform. You will receive an order confirmation by email.

3. Prices and Payment

All prices are displayed inclusive of the applicable value-added tax (VAT) as required by German law. Payment is processed through our authorized payment provider at the time of purchase.

4. Right of Withdrawal (Widerrufsrecht)

Right of Withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day on which the contract was concluded.

To exercise your right of withdrawal, you must inform us of your decision to withdraw from this contract by a clear statement (e.g., a letter sent by post or email). You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw. We will use the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

Exception for Digital Content

The right of withdrawal expires prematurely if the performance of the contract has begun with your prior express consent and your acknowledgment that you thereby lose your right of withdrawal, in accordance with Section 356(5) BGB and Art. 16(m) of Directive 2011/83/EU. This applies when you begin downloading or using the Software after purchase.

5. License

The use of the Software is subject to our End User License Agreement (EULA), available at frametools.io/legal/eula.

6. Warranty (Gewaehrleistung)

Your statutory warranty rights under German law apply. The Software must be free from material and legal defects at the time of delivery. The statutory limitation period for warranty claims is two years from delivery.

If a defect exists, you are entitled to supplementary performance (repair or replacement). If supplementary performance fails, you may reduce the purchase price or withdraw from the contract.

7. Limitation of Liability

We are liable without limitation for damages caused by intent or gross negligence, for injury to life, body, or health, and under the Product Liability Act (Produkthaftungsgesetz).

For slight negligence, we are liable only for breaches of material contractual obligations (cardinal obligations). In such cases, liability is limited to the foreseeable, typically occurring damage.

We are not liable for loss of data to the extent you have failed to ensure that your data can be restored with reasonable effort from machine-readable data backups.

8. Applicable Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer within the EU, you also benefit from any mandatory provisions of the law of your country of residence.

9. Jurisdiction

For merchants (Kaufleute), legal entities under public law, or special funds under public law, the exclusive place of jurisdiction is Gross-Gerau, Germany. For consumers, the statutory provisions regarding jurisdiction apply, which generally means the courts at the consumer's place of domicile.

10. Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr/

We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic purpose of the original provision.
